Terms of Use

These Terms of Use ("Terms") govern your access to and use of GesamtDB (the "Service"), a software-as-a-service (SaaS) offering provided by AI-First Analytics, Inc. ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

Your use of the Service is also governed by our separate Privacy Policy.

1. The Service

GesamtDB is provided on a SaaS basis. Under the customer-managed database infrastructure model, you configure access details to your own PostgreSQL, MySQL, or DuckDB/MotherDuck environment, and the Service executes supported operations on top of that environment.

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

We make no commitment to maintain, support, update, or continue the Service or any specific feature.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service.

3. Accounts and Access

If the Service requires an account:

• You are responsible for maintaining credential confidentiality.
• You are responsible for activity under your account.
• You may not share your account or credentials with third parties.
• We may suspend or terminate accounts at our sole discretion.

4. Acceptable Use

You agree not to:

• Use the Service for unlawful purposes
• Interfere with or disrupt the Service or infrastructure
• Attempt to reverse engineer, decompile, or extract source code
• Infringe intellectual property or privacy rights
• Use the Service to develop competing products or services

We reserve the right to investigate and take appropriate action for violations.

5. Customer Database Responsibilities

You are solely responsible for provisioning, securing, and configuring any database system that you connect to the Service, including user accounts, credentials, network access, and backup policies.

You represent and warrant that you have sufficient rights to authorize GesamtDB to execute queries and upload operations using the credentials that you provide.

6. Intellectual Property

All rights, title, and interest in the Service, including software, documentation, and branding, are owned by AI-First Analytics, Inc. or its licensors.

These Terms grant a limited, non-exclusive, non-transferable, revocable right to use the Service as permitted by these Terms.

You retain rights to data and content you submit, and grant us a limited license to process it as needed to provide, maintain, and improve the Service.

7. Fees and Payment

Certain features require paid plans. By selecting a paid plan, you agree to pay applicable fees based on the pricing and billing terms shown at purchase.

• Fees are billed in advance on a recurring basis unless otherwise stated.
• Fees are non-refundable except as required by law or explicitly stated.
• We may change pricing at any time for future billing periods.
• You are responsible for applicable taxes, levies, and duties.

Payments are processed by third-party payment processors. We do not store full payment card information.

Failure to pay may result in suspension or termination.

8. Plans, Quotas, and Operational Limits

Plan entitlements include quotas and operational limits, including without limitation daily query allowances, maximum runtime per query, and maximum token limits per query.

These quotas and limits may be changed at our sole discretion.

9. Trials and Free Tiers

We may offer free trials or free-tier access at our discretion and may modify or discontinue such access at any time.

10. No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

To the maximum extent permitted by law, we disclaim all express and implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and availability.

We do not guarantee uninterrupted operation, bug fixes, or prevention of data loss.

11. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, consequential, special, or punitive damages.
• Our total liability for any claim does not exceed the amount paid for the Service in the preceding twelve (12) months.

12. Indemnification

You agree to indemnify and hold harmless AI-First Analytics, Inc. and its officers, directors, and employees from claims arising from your use of the Service or violation of these Terms or applicable law.

13. Termination

We may terminate or suspend access at any time, including for non-payment, without notice. Upon termination, your right to use the Service ceases immediately.

14. Governing Law and Venue

These Terms are governed by Delaware law. Disputes related to these Terms or the Service must be brought in state or federal courts in Delaware.

15. Changes to These Terms

We may update these Terms at any time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
